1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and Web-Tracking.eu ("we", "us", "our"), a company registered in Denmark. By accessing or using our web analytics service ("Service"), you agree to be bound by these Terms. If you do not agree, you may not use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Web-Tracking.eu provides a privacy-focused web analytics platform that allows website operators to understand their traffic without compromising visitor privacy. The Service includes a tracking script, a dashboard for viewing analytics data, and related tools and APIs.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring your contact information remains current and accurate

We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe are being used in violation of these Terms.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You shall not:

• Use the Service to track websites you do not own or have authorization to monitor
• Attempt to circumvent usage limits, rate limits, or security measures
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use the Service to collect personal data beyond what is described in our documentation
• Resell, sublicense, or redistribute the Service without our written consent
• Use the Service in any manner that could damage, disable, or impair our infrastructure
• Transmit any malicious code or interfere with the Service's integrity

5. Subscription Plans and Billing

5.1 Plans

The Service is offered under multiple subscription plans, including a free tier with limited features. Plan details, pricing, and feature comparisons are available on our pricing page. We reserve the right to modify pricing with 30 days' notice to existing customers.

5.2 Payment

Paid subscriptions are billed in advance on a monthly or annual basis, depending on the billing cycle you select. Payments are processed securely through our payment provider (LemonSqueezy), who acts as our Merchant of Record and handles VAT, invoicing, and refunds. All fees are quoted in Euros and include applicable taxes.

5.3 Overages

If your usage exceeds the limits of your plan, we will notify you and provide an opportunity to upgrade. We will not charge overage fees without prior notice. Sustained overuse without upgrading may result in data collection being paused until the next billing cycle.

5.4 Refunds

Annual subscriptions may be refunded within 14 days of purchase if you have not exceeded 10% of your plan's monthly event quota. Monthly subscriptions are non-refundable. You may cancel at any time and continue to use the Service until the end of your current billing period.

6. Right of Withdrawal

You have a 14-day right of withdrawal for digital services. By starting to use the service immediately upon registration, you agree to waive this right. You can cancel your subscription at any time through the billing page.

7. Data Ownership

You retain all rights to the analytics data collected through your use of the Service. We do not claim ownership over your data. We process your data solely to provide the Service and as described in our Privacy Policy and Data Processing Agreement.

Upon termination of your account, you may export your data for up to 30 days. After that period, your data will be permanently deleted from our systems.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. Our target uptime is 99.9% measured on a monthly basis, excluding scheduled maintenance windows.

We are not liable for any downtime, data loss, or service interruptions caused by circumstances beyond our reasonable control, including but not limited to natural disasters, internet outages, or third-party service failures.

9. Intellectual Property

The Service, including its design, code, documentation, and branding, is the intellectual property of Web-Tracking.eu and is protected by applicable copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

10. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party in connection with the Service. This obligation does not apply to information that is publicly available, independently developed, or rightfully received from a third party without restriction.

11. Termination

10.1 By You

You may terminate your account at any time through the dashboard settings. Termination takes effect at the end of the current billing period. You will retain access to the Service until that date.

10.2 By Us

We may suspend or terminate your account if you materially breach these Terms and fail to remedy the breach within 14 days of written notice. We may also terminate the Service entirely with 90 days' notice to all customers, in which case a pro-rata refund of prepaid fees will be provided.

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Data export is available for 30 days following termination, after which all data is permanently deleted. Sections of these Terms that by their nature should survive termination (including liability, indemnification, and governing law) shall continue in effect.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

• Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, regardless of whether we were advised of the possibility of such damages.
• We are not liable for any damages arising from your failure to maintain the security of your account credentials.

Nothing in these Terms limits liability for fraud, willful misconduct, or any liability that cannot be excluded under applicable law.

13. Indemnification

You agree to indemnify and hold harmless Web-Tracking.eu from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated via email to registered customers at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you may terminate your account before they take effect.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Denmark, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Denmark.

16. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and Data Processing Agreement, constitute the entire agreement between you and Web-Tracking.eu regarding the Service.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
